Black Enterprise “Small Business University” Sweepstakes

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

PROMOTION PERIOD: The Black Enterprise “Small Business University” Sweepstakes (the “Sweepstakes”) begins on Monday, April 30, 2012 and ends Sunday, June 24, 2012 (the “Promotion Period”).

ELIGIBILITY: Participants must meet the following eligibility requirements to enter. Participants must: a) be a legal resident of the 50 United States or the District of Columbia; b) be age 18 or older at the time of entry; c) be registered in the Black Enterprise Small Business University powered by Dell online course; and d) meet the criteria of one of the entrepreneurial levels as defined by Sponsor at http://www.blackenterprise.com/sbu/what-level-are-you (the “Entrant”). Void wherever prohibited by law. Employees of Earl G Graves Ltd. (the “Sponsor”), its subsidiaries, affiliates, advertising and Sweepstakes agencies, and the immediate family members of, and/or those living in the same household of each, are not eligible to enter. Sweepstakes is subject to all applicable federal, state, local and provincial laws and regulations. Participation in the Sweepstakes constitutes Entrant’s full and unconditional agreement to and acceptance of the terms and conditions described herein (the “Official Rules”).

HOW TO ENTER: Entrants must go online and login to their account at www.blackenterprise.com/sbu (the “Website”) and complete any of the tasks available to earn the points associated with each task. Each Entrant that meets or exceeds the minimum point total for each week during the Promotion Period (a week is defined as beginning at 12:00:00 AM Eastern Time (“ET”) on Monday and ending at 11:59:59 PM ET on Sunday) will receive one (1) entry into that week’s drawing. LIMIT: One (1) entry per person per email address per week.

A list of tasks and the timeframe to complete each task are available at http://www.blackenterprise.com/sbu/rewards. Tasks are subject to change at any time at the sole discretion of the Sponsor. Sponsor will only award points for tasks completed within the specified timeframe. Entrants are subject to all notices posted online including, but not limited to, Sponsor’s Privacy Policy.

Task completion is subject to the decisions of and verification by Sponsor. Completion of a task does not indicate that the Entrant has been or will be awarded the points associated with that task. Sponsor reserves the right, in its sole and absolute discretion, to reject, disqualify and/or remove any Entrant and/or the points associated with any task for any Entrant that violates these Official Rules without any notification or warning.

Tasks completed by or points earned by any other individual or entity that is not the person named account associated with the Entrant or made in any manner inconsistent with these Official Rules will be declared invalid and disqualified from this Sweepstakes.

PRIZES/APPROXIMATE RETAIL VALUE (“ARV”)/WINNER SELECTION: Based on the Sweepstakes Prize Schedule below, prize winners will be selected in a random drawing on or around the Drawing Date for each week during the Promotion Period from among all eligible entries received for that week. Drawings will be conducted by the Sweepstakes Administrator, whose decisions, along with Sponsor’s, are final and binding.

Total ARV of all prizes available to be won: $50,380.90.

Limit one (1) prize per person per household per week.

WINNER NOTIFICATION: Potential prize winners will be notified by telephone and/or email and confirmed in writing via email or postal mail, at Sponsor’s discretion, on or about five (5) days from the Drawing Date for that prize. Potential winners of any prize with an ARV of or above $600 must sign and return, within five (5) business days of the date initial notice is sent, an Affidavit of Eligibility, Liability Release, and, where allowable, a Publicity Release (collectively, the “Releases”) in order to claim his/her prize, otherwise potential winner will be disqualified and an alternate winner will be selected. Winner (or parent/legal guardian if potential winner is deemed a minor in his/her state of residence) may waive their right to receive a prize. Note: The Releases will require that the winner provide his or her Social Security Number, which will be used solely for tax reporting purposes. Prizes with an ARV below $600 will be sent to the selected winners at the address associated with their registration at the Website within four to six weeks of the end of the Promotion Period. All other prizes will be awarded within four to six weeks of Sponsor’s receipt of all required documentation, as described in these Official Rules, and Sponsor’s verification of potential winner’s eligibility. Non-winning Entrants will not be notified.

If Sponsor so elects, a potential winner may be required to submit to a confidential background check to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Contest will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest as determined by Sponsor in its sole discretion. Sponsor reserves the right to disqualify a potential winner/Finalist on the basis of the findings resulting from such background check.

PRIZE CONDITIONS AND LIMITATIONS: If a winner is otherwise eligible under these Official Rules, but is nevertheless deemed a minor in his or her state of primary residence, the prize will be awarded in the name of winner’s parent or legal guardian who will be required to execute and return the Releases if and as required on minor’s behalf. If the Releases or any prize are returned as undeliverable or if the selected winner cannot accept or receive the prize for any reason, or he/she is not in compliance with these Official Rules, the prize will be forfeited and an alternate winner will be determined in a separate random drawing. Acceptance of a prize constitutes permission from the winner to Sponsor and its agencies to use such winner’s image, name, voice and/or likeness, for Sponsor’s marketing, advertising and publicity purposes in any media format worldwide, without further compensation, except where such use is prohibited by law.

Prizes are not redeemable for cash. Prizes are non-assignable or transferable. No substitution is permitted except if a prize is unavailable, in which case a prize of equal or greater value will be awarded at the sole discretion of the Sponsor. No cash in lieu of a prize and no exchange or substitution of a prize, except at the sole discretion of Sponsor. Any other incidental expenses on the acceptance or use of a prize not specified herein are the winner’s sole responsibility. In no event shall more prizes be awarded than the number stated in the “Prizes” section above.

PRIZES ARE AWARDED AS IS AND WITHOUT WARRANTY, GUARANTEE OR REPRESENTATION OF ANY KIND, EXPRESSED OR IMPLIED (INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE).

CONDITIONS: By participating, all Entrants agree to be bound by these Official Rules and the decisions of Sponsor and an Administrator, which shall be final and binding on all matters relating to the Sweepstakes, and waive any right to claim ambiguity in regard to the Sweepstakes mechanics and implementation, or interpretation of these Official Rules. All entries will become the exclusive property of Sponsor, and none will be acknowledged or returned. Any winner’s entry and acceptance of any prize constitutes permission for Sponsor to use said winner’s name, photograph, likeness, statements, biographical information, voice and address (city and state) on a worldwide basis, and in all forms of media, in perpetuity, without notice or further compensation.

All federal, state, local, and other taxes, if applicable, are the sole responsibility of the winner. Sweepstakes is subject to all applicable federal, state and local laws. By entering, winners and Entrants also agree to release, discharge, indemnify and hold harmless Sponsor, its advertising and Sweepstakes agencies, affiliates, parent companies, subsidiaries, prize providers, and their respective officers, and employees (the “Released Parties”), from and against any claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any prize offered, or participation in this Sweepstakes.

NOTICE TO ONLINE ENTRANTS: Sponsor is not responsible for faulty, incorrect or mistranscribed transmissions, incorrect announcements of any kind, technical hardware or software failures of any kind including any injury or damage to any person’s computer related to or resulting from participating in or experiencing any materials in connection with the Sweepstakes, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmission that may limit a user’s ability to participate in the Sweepstakes. Sponsor reserves the right to cancel or modify the Sweepstakes if fraud, misconduct or technical failures destroy the integrity of the program; or if a computer virus, bug, or other technical problem corrupts the administration or security of the program as determined by Sponsor/Independent Administrator, in their sole discretion. In the event of termination a notice will be posted online and Sponsor will select Sweepstakes winners from all eligible entries received up to the time of termination or modification, and Sweepstakes Entries will be judged from among all eligible Sweepstakes Entries received prior to termination. Any damage made to the Sweepstakes site will be the responsibility of the authorized email account holder of the email address submitted at the time of entry. Proof of submitting an Entry will not be deemed to be proof of receipt by Sponsor. Any use of robotic, automatic, or programmed methods of participation/voting will void all such submissions/votes by such methods. Sponsor reserves the right to prohibit the participation/voting of an individual if fraud or tampering is suspected or if the account holder fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules. Any claims relating to the Sweepstakes shall be governed by New York law without regard to its conflict of law rules, and any such claim must be heard in New York.

In the event of a dispute regarding the identity of an Entrant, Entry will be deemed submitted by the “Authorized Account Holder” of the email address submitted at time of entry. Authorized Account Holder means the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. Sponsor, Facebook, Inc., their affiliate companies, parents, subsidiaries, divisions, officers, directors, and agents are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; or (iii) any injury or damage to entrant’s or any other person’s computer related to or resulting from participating in the Sweepstakes.

Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. Sponsor reserves the right to: (i) permanently disqualify from any Sweepstakes it sponsors any person it believes has intentionally violated these Official Rules; and (ii) withdraw the online method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Sweepstakes), and to select winners from among all eligible entries received prior to withdrawal.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEBSITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

PRIVACY: Personal information collected from online entrants is subject to the Privacy Policy, which can be found at http://www.blackenterprise.com/privacy/.

WINNER CONFIRMATION: For a written confirmation of the winner (available after Monday, May 14, 2012) send a stamped, self-addressed envelope (no later than Monday, July 30, 2012), to: The Black Enterprise “Small Business University” Sweepstakes, Winner Confirmation Request, PO Box 25466, Rochester, NY 14625.
